These terms (“Terms”) cover the use of Synergy Inc.’s products, websites, and services (the “Services”). The Services are provided by Synergy Inc. (“Synergy”), located at 447 Broadway, 2nd FL #302, New York, NY 10013.


Your Synergy Account

You may need a Synergy account to access and use our Services. Your Synergy account lets you sign in to our Services and some Synergy partners. You may create your own Synergy Account, or your Synergy Account may be assigned to you by an administrator (such as your employer or educational institution). You agree not to use any false, inaccurate or misleading information when signing up for your Synergy account. In some cases, third party accounts (such as Google and Microsoft) can be used to create your Synergy account. To protect your Synergy account, keep your account details and password confidential. You are responsible for all activity that occurs under your Synergy account. You must use your Synergy account to keep it active, and we have the right to close an account that we assume is inactive.


Privacy and Copyright protection

Synergy’s Privacy Policy describes the information we collect from you and your devices (“Data”) and it is meant to help you understand why we collect that Data and how to update, manage, export, and delete your Data.

The Privacy Policy also describes how Synergy uses your content, which includes the files, documents, audio, digital works photos, and videos that you upload, store, broadcast or share; communications with others; and postings submitted by you through the Services ("Your Content"). By agreeing to these Terms, you consent to Synergy’s collection, use and disclosure of Your Content and Data as described in the Privacy Policy, based on your consent and to the extent permitted by law.



Your Content

Our Services allow you to upload, submit, store, send or receive content. You retain ownership of any intellectual property rights that you hold in that content and we don’t claim ownership of Your Content, your Content remains yours and you are responsible for it.

By using our Services, you grant to Synergy a worldwide and royalty-free intellectual property license to use Your Content, for example, to use, host, store, reproduce, modify, create derivative works (such as translations, adaptations or other changes so that your content works better with our Services), communicate, publish, publicly perform, publicly display and distribute such content. The rights you grant in this license are for the purpose of operating, promoting, and improving our current Services, and potential new ones. This license continues even if you stop using our Services. Our automated systems analyze your content (as the content is sent, received, and when it is stored) to provide you relevant product features.

If you share Your Content with other people, you understand that they might be able to use, save, record, reproduce, broadcast, transmit, share and display Your Content, on a worldwide basis, without compensating you. If you want to prevent others from having that ability, do not use the Services to share Your Content. You represent and warrant that you have and will have all the rights necessary for Your Content and that Your Content will not violate any law or rights of others. Synergy cannot be held responsible for Your Content using the Services.


Code of Conduct

By using our Services, you agree that you will follow these rules:

  • Don’t do anything illegal.
  • Don’t engage in activity that is fraudulent, false or misleading.
  • Don’t engage in any activity that exploits, harms, or threatens to harm children.
  • Don’t display or use the Services to share inappropriate content or material (involving, for example, nudity, bestiality, pornography, offensive language, graphic violence, or criminal activity).
  • Don’t engage in activity that is harmful to you, the Services, or others.
  • Don’t circumvent any restrictions on access to or availability of the Services.
  • Don’t engage in activity that violates the privacy of others.
  • Don’t infringe upon the rights of others.
  • Don’t send spam.
  • Don’t help others break these rules.

If you violate these Terms, we may stop providing Services to you and we reserve the right to review Your Content in order to resolve any issues when investigating alleged violations of these Terms.

Software License

Our Services may require or include downloadable software. Synergy provides a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you by Synergy as part of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Synergy. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission. The software may update automatically on your device once a new version or feature is available.


Updates to Terms or Services

We may change these Terms at any time, and using the Services after the changes become effective means you agree to the new terms. If you don’t agree to the new terms, you must stop using the Services, and close your Synergy account.


Warranties

Synergy provides the Services “as is” and “as available,” without warranty of any kind. Without limiting this, we expressly disclaim all warranties, whether express, implied or statutory, regarding the Services including without limitation any warranty of merchantability, fitness for a particular purpose, title, security, accuracy and non-infringement.

Synergy does not warrant that the Services will meet your requirements; that the Services will be uninterrupted, timely, secure, or error-free; that the information provided through the Services is accurate, reliable or correct; that any defects or errors will be corrected; that the Services will be available at any particular time or location; or that the Services is free of viruses or other harmful components. You assume full responsibility and risk of loss resulting from your downloading and/or use of files, information, content or other material obtained from the Services.


Limitation of Liability

When permitted by law, Synergy, and Synergy’s suppliers and distributors, will not be responsible for lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, or punitive damages.


Release and Indemnification

If you have a dispute with one or more users of the Services, you agree to release Synergy from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

You agree to indemnify us, defend us, and hold us harmless from and against any and all claims, liabilities, and expenses, including attorneys’ fees, arising out of your use of the Services, including but not limited to your violation of this Terms.


Governing Law

Except to the extent applicable law provides otherwise, this Terms between you and Synergy and any use of the Services are governed by the federal laws of the United States of America and the laws of the State of Delaware, without regard to conflict of law provisions.
